Reference is made to the Company’s Announcements dated 22 June 2023, 27 June 2023, 12 October 2023, 14 March 2024 and 28 June 2024 in relation to the same.
The parties had on 2 October 2024 entered into a Deed of Revocation to revoke and terminate the Shares SPA unconditionally without any liability to the other party, releasing each other from all the obligations, observance and due performance of all the stipulations, covenants, terms and conditions under the Shares SPA as of 2 October 2024 (“Revocation of Shares SPA”).
The Revocation of Shares SPA is not expected to have any material effect on the earnings, net assets, gearing, share capital and substantial shareholders’ shareholding of the Company for the financial year ending 30 September 2025.
