For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the announcements unless otherwise defined herein.

Reference is made to the Company’s announcements dated 2 December 2022, 9 April 2024 and 28 October 2024 in relation to the same.

The Company wishes to announce that out of the three (3) SPA, the conditions precedent of two (2) SPA, including obtaining the relevant consents from the relevant authorities, have been fulfilled. Accordingly, the said two (2) SPA have become unconditional.

In respect of the remaining SPA, on 19 March 2025, the Parties agreed and acknowledged to further extend the Conditional Period to another six (6) months, commencing from 1 April 2025 and expiring on 30 September 2025.

For avoidance of doubt, all other terms and conditions of the SPA remain unchanged.
