NOTICE IS HEREBY GIVEN THAT the Thirtieth Annual General Meeting of the shareholders of the Company will be held at the Legend Hotel, Enggang & Merak Room, Level 9, Putra Place, 100 Jalan Putra, 50350 Kuala Lumpur, Malaysia on Monday, 27 September, 1999 at 11.00 a.m. for the purpose of considering and, if thought fit, passing the following ordinary resolutions:-


AGENDA

1. To receive and adopt the Directors' Report and the Audited Ordinary   Accounts for the year ended 31 March, 1999 and the Resolution 1
Auditors' Report thereon.

2. To approve the payment of a first and final dividend of 2% Ordinary   gross per share less 28% Malaysian income tax in respect Resolution 2
of the year ended 31 March, 1999.

3. To approve the payment of Directors' fees in respect of Ordinary   the year ended 31 March, 1999. Resolution 3

4. To re-elect Directors retiring in accordance with Article 101   of the Company's Articles of Association:   (a) YBhg Dato= Yahya Bin Haji Talib Ordinary

5. To appoint Auditors and to authorise the Directors to fix their Ordinary   remuneration. Resolution 5

  Notice of Nomination pursuant to Section 172(11) of the
Companies Act, 1965, a copy of which is given as
AAnnexure A@ in the Company's 1999 Annual Report,
has been received by the Company for the nomination
of Messrs PricewaterhouseCoopers, who have given
their consent to act, for appointment as Auditors and of
the intention to propose the following Ordinary Resolution :-  
ATHAT Messrs PricewaterhouseCoopers be and are hereby
appointed auditors of the Company in place of the retiring
Auditors, Messrs Coopers & Lybrand, to hold office until
the conclusion of the next Annual General Meeting at a
remuneration to be determined by the Directors@

6. To transact any other ordinary business of the Company Ordinary   for which due notice has been given. Resolution 6

FURTHER NOTICE IS HEREBY GIVEN that a Depositor shall be eligible to attend this meeting only in respect of :-

a. Shares transferred into the Depositor=s Securities Account before 12.30 p.m. on 17 September, 1999 in respect of ordinary transfers; and

b. Shares bought on the Kuala Lumpur Stock Exchange on a cum entitlement basis according to the Rules of the Kuala Lumpur Stock Exchange.

Shareholders are reminded that pursuant to the Securities Industry (Central Depositories) (Amendment) (No. 2) Act, 1998 which came into force on 1 November, 1998, all shares not deposited with Malaysian Central Depository Sdn Bhd by 12.30 p.m. on 1 December, 1998 and not exempted from Mandatory Deposit, have been transferred to the Minister of Finance (AMOF@). Accordingly, the eligibility to attend this Meeting for such undeposited shares will be the MOF.

CLOSURE OF BOOKS:

Subject to the approval of the shareholders at the Annual General Meeting, a first and final dividend of 2% gross per share less 28% Malaysian income tax will be paid to the entitled shareholders on 9 November, 1999.

NOTICE IS HEREBY GIVEN THAT the Share Transfer Books and Register of Members of the Company will be closed from 27 October, 1999 to 28 October, 1999 (both dates inclusive) for the preparation of dividend warrants. Duly completed transfers received by the Company's Share Registrars, Messrs PFA Registration Services Sdn Bhd, 1301, Level 13, Uptown 1, No. 1, Jalan SS21/58, Damansara Uptown, 47400 Petaling Jaya, Selangor Darul Ehsan up to the close of business at 5.00 p.m. on 26 October, 1999 will be registered before entitlements to the dividend are determined.

FURTHER NOTICE IS HEREBY GIVEN that a Depositor shall qualify for entitlement only in respect of :-

a. Shares transferred into the Depositor=s Securities Account before 12.30 p.m. on 26 October, 1999 in respect of ordinary transfers; and

b. Shares bought on the Kuala Lumpur Stock Exchange on a cum entitlement basis according to the Rules of the Kuala Lumpur Stock Exchange.

Notes:

1. A proxy need not be a member of the Company, but unless he is, then by provision of Section 149(1)(b) of the Companies Act, 1965, he must be an advocate, an approved company auditor, or a person approved by the Registrar of Companies in a particular case unless the person named as proxy is the Chairman of the Meeting.

2. The instrument appointing a proxy shall be in writing under the hand of the appointor or his/her attorney duly authorised in writing or, if the appointor is a corporation, either under its common seal or under the hand of an officer or attorney duly authorised.

3. The Proxy Form must be deposited with the Company=s Share Registrars, Messrs PFA Registration Services Sdn Bhd, 1301, Level 13, Uptown 1, No. 1, Jalan SS21/58, Damansara Uptown, 47400 Petaling Jaya, Selangor Darul Ehsan, at least 48 hours before the time appointed for holding the meeting or any adjournment thereof.
