Reference is made to the announcements dated 10 March 2015, 16 March 2015, 20 April 2015, 27 April 2015, 26 May 2015 and 11 June 2015 (“Announcements”) in relation to the Proposals. For consistency, unless otherwise stated, the abbreviations used throughout this announcement are the same as those previously defined in the Announcements. On behalf of the Board, the Joint Advisers are pleased to announce that the Subscription Agreements, SDSDSB SPA and SMSB SPAs have become unconditional on 11 June 2015 upon fulfillment of all the conditions precedents as set out therein. The SGSB Subscription, SMSB Acquisitions and RNSB Subscription have been completed on 12 June 2015 in accordance with the respective terms of the Subscription Agreements and SMSB SPAs. Accordingly, SGSB, Concord and RNSB are now subsidiaries of Sunsuria whilst SMSB is an associate company of Sunsuria. This announcement is dated 12 June 2015. |
