The Board of Directors of the Company wishes to announce that the Company intends to seek shareholders’ approval for the following matters at the forthcoming Annual General Meeting:

1. Proposed Renewal of Existing Shareholders’ Mandate and Proposed New Shareholders’ Mandate for the Company and/or its subsidiaries to enter into Recurrent Related Party Transactions of a Revenue or Trading Nature with Related Parties; and
2. Proposed Renewal of Authority for the Company to Purchase up to Ten Percent (10%) of its Issued and Paid-up Share Capital pursuant to Section 67A of the Companies Act, 1965.

The circular to shareholders containing information on the Proposals will be issued to the shareholders in due course.
