Pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of Sunsuria wishes to announce that Sunsuria City Amenities Sdn Bhd, a wholly-owned subsidiary of Sunsuria Arena Sdn Bhd, which in turn is a wholly-owned subsidiary of the Company, has on 15 March 2019, acquired 100% equity interest of Aspire Century Sdn Bhd (“ACSB”) comprising of one (1) ordinary share in ACSB for a cash consideration of RM1.00. Upon completion of the said acquisition, ACSB becomes an indirect wholly-owned subsidiary of the Company.

ACSB was incorporated on 6 March 2019 as a private limited company under the Companies Act, 2016 with an issued share capital of one (1) ordinary share. ACSB is currently a dormant company and has not commenced any business operation since the date of its incorporation. The intended principal activities of ACSB will be in the business of investment holding, real property holding, and general trading. 

The acquisition of ACSB is not expected to have any material effect on the earnings or net assets of the Sunsuria and its subsidiaries for the financial year ending 30 September 2019.

None of the Directors and/or major shareholders of the Company or any persons connected to them have any direct or indirect interest in the above acquisition.
